Advise and provide legal expertise and guidance on structuring and executing fund investments, co-investments, and other relevant transactions to support strategic business decisions based on both commercial and legal aspects.
Manage the legal and company secretarial functions by providing strategic legal and company secretary advice to the Board and senior management.
Review and negotiate a range of industry-specific and general commercial contracts, such as Engineering, Procurement and Construction (EPC) contracts, Power Purchase Agreements (PPA), Non-Disclosure Agreements (NDA), and documents related to the establishment of Special Purpose Vehicles (SPVs) to ensure terms are in the best interest of the company.
Conduct legal research and analysis to support business decision-making and remain updated on new regulations and legislation, especially related to renewable technology and related investments.
Ensure compliance with all regulatory requirements and corporate governance standards, including local laws, regulations, and guidelines. Draft, vet, and negotiate legal documents, advise on corporate governance matters, and communicate relevant changes in laws and statutory requirements to stakeholders.
Manage and support the resolution of disputes and litigation matters as needed, and coordinate relationships with external counsel to ensure the company’s legal needs are met.
Execute legal and compliance vision, strategies, and frameworks, and collaborate with senior management to address legal-related public policy issues.
Work closely with Business Development, Technical teams, and other stakeholders to identify and mitigate legal risks.
Support business growth by providing compliance policies and strategic and operational legal guidance to senior management.
Liaise and manage relationships with internal and external legal advisers and other third-party service providers to ensure all legal documents, agreements, and files meet statutory and regulatory requirements while supporting business objectives.
