  • Originate, conduct due diligence, obtain approvals, and secure financing for renewable energy projects, portfolios, development joint ventures, and companies.

  • Assist in identifying and evaluating a pipeline of renewable energy projects, conducting screening of investment opportunities.

  • Stay updated on the Philippine onshore renewable market, including market trends, participants, past transactions, and opportunities, and provide support in reviewing strategies to align with the market environment.

  • Conduct necessary due diligence, financial modeling, risk analysis, and risk mitigation for structuring complex acquisitions, developments, and project financing transactions.

  • Lead or support the commercial, legal, and financial aspects of deal structuring.

  • Commercial review and negotiate term sheets and contracts, including acquisition agreements, shareholder agreements, joint development partnerships, MoUs, and assist in commercial reviews of power purchase agreements (PPAs), leases, EPC contracts, and O&M agreements.

  • Prepare internal approval papers, including analyzing and assessing relevant opportunities to facilitate investment decisions by the Investment Director, Development Director, and leadership team.

  • Prepare project teasers or information memoranda for debt and equity investors, and provide responses to potential investors' and financiers' commercial and technical due diligence.

  • Support the presentation of deal pipeline and transaction details to the leadership team and Board for review and approval.

  • Collaborate with internal and external legal counsel to ensure timely conclusion of appropriate legal documentation aligned with approvals, and achieve financial close (first disbursement) in a timely manner.

  • Organize and oversee regular reporting activities for internal progress management, as well as update the leadership on the ongoing deals pipeline and expected milestones.

  • Develop and leverage a network of professional relationships, including key external stakeholders such as financial, legal, and commercial advisers, relevant regulatory agencies, and industry participants.
